Welcome to the co-lab.dev Partner Program (the "Program"). These Partner Program Terms and Conditions (the "Agreement") constitute a legally binding agreement between you ("Partner," "you," or "your") and co-lab.dev ("Company," "we," "us," or "our").

By registering for, accessing, or participating in our Partner Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not participate in the Program.

This Agreement governs your participation in the Program and your promotion of co-lab.dev's Supplier Discovery platform and related services (the "Services").

To participate in our Partner Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have a valid co-lab.dev account in good standing
• Provide accurate and complete registration information
• Complete the Stripe Connect onboarding process for payment processing
• Comply with all applicable laws and regulations in your jurisdiction
• Own or operate a website, social media account, email list, or other platform through which you will promote our Services

We reserve the right to reject any application or terminate any partner account at our sole discretion, with or without cause.

3.1 Signup Bonus: You will receive a one-time $5.00 USD bonus when a referred user makes their first qualifying purchase (subscription or credit pack).

3.2 Recurring Commission: You will receive 10% of all payments made by your referred users, including:

• Initial subscription payments
• Monthly subscription renewals
• Credit pack purchases
• Plan upgrades
• Any other payments for our Services

3.3 Lifetime Duration: Commissions are paid for the entire lifetime of the customer relationship. There is no cap or time limit on how long you can earn commissions from a referred customer, as long as they remain an active paying customer and this Agreement remains in effect.

3.4 Commission Calculation: Commissions are calculated based on the net amount received by co-lab.dev after any applicable taxes, payment processing fees, or discounts applied at checkout.

4.1 Cookie Duration: When a user clicks your partner link, a tracking cookie is placed on their browser for 60 days. If the user makes a qualifying purchase within this period, the sale will be attributed to you.

4.2 Last-Click Attribution: We use a last-click attribution model. If a user clicks on multiple partner links, the commission will be attributed to the last partner whose link was clicked before the purchase.

4.3 Attribution Override: If a user enters a different partner's coupon code at checkout, that partner will receive the commission regardless of cookie attribution.

4.4 Tracking Parameters: You may append tracking parameters (click_id, sub_id) to your partner links for use with external tracking platforms. We support server-to-server (S2S) postback notifications for professional tracking systems.

5.1 Payment Method: All partner payments are processed through Stripe Connect. You must complete Stripe's onboarding process, which includes identity verification and bank account setup. Stripe securely handles all payment processing and compliance requirements.

5.2 Payment Schedule (Net 30 EOM): Commissions are aggregated on a monthly basis and paid according to the Net 30 End of Month schedule. This means commissions earned during a calendar month will be paid on the 1st of the month following the end of that billing period. For example, commissions earned in July will be paid on September 1st. This schedule ensures proper reconciliation and allows for any chargeback disputes to be resolved before payout.

5.3 No Minimum Threshold: There is no minimum payout threshold. All earned commissions are paid out according to the Net 30 EOM schedule.

5.4 Currency: All commissions are calculated and paid in USD. If your bank account is in a different currency, Stripe will automatically convert the funds at the prevailing exchange rate.

5.5 Taxes: You are solely responsible for any taxes owed on your partner earnings. co-lab.dev may request tax documentation (such as W-9 or W-8BEN forms) as required by law. We may report your earnings to relevant tax authorities as required.

5.6 Stripe Express Dashboard: You will have access to the Stripe Express Dashboard to view your earnings, payout history, and manage your bank account information.

5.7 Commission Tracking: You can view your pending and paid commissions in your partner dashboard. Pending commissions show your earnings for the current billing period that will be paid according to the Net 30 EOM schedule.

6.1 Accurate Representation: All promotional content must be truthful, accurate, and not misleading. You must not make false claims about our Services, pricing, features, or your relationship with co-lab.dev.

6.2 Disclosure Requirements: You must clearly disclose your partner relationship in accordance with FTC guidelines and any applicable laws in your jurisdiction. This includes using appropriate disclosures such as "partner link," "#ad," or "#sponsored" where required.

6.3 Brand Guidelines: When using co-lab.dev logos, trademarks, or branded materials, you must follow our brand guidelines. You may not modify our logos or use them in a way that suggests endorsement of your own products or services.

6.4 Content Ownership: You retain ownership of your promotional content, but grant us a non-exclusive license to use, reproduce, and display your content for promotional purposes.

7.1 Spam & Unsolicited Communications: Sending unsolicited emails, messages, or any form of spam. This includes purchasing email lists or using automated systems to send bulk communications.

7.2 Cookie Stuffing: Placing affiliate cookies on users' devices without their knowledge or consent through hidden iframes, pop-unders, or other deceptive methods.

7.3 Brand Bidding: Bidding on co-lab.dev branded keywords (including "co-lab," "colab," "co-lab.dev," or variations) in paid search advertising (Google Ads, Bing Ads, etc.).

7.4 Trademark Infringement: Using our trademarks in domain names, social media handles, or in any way that creates confusion about your relationship with co-lab.dev.

7.5 Fraudulent Activity: Creating fake accounts, generating fraudulent leads, self-referring, or any form of manipulation to earn undeserved commissions.

7.6 Incentivized Traffic: Offering cash, credits, points, or other incentives to users specifically for clicking your affiliate link or signing up (without our prior approval).

7.7 Negative Marketing: Disparaging co-lab.dev, our competitors, or engaging in any promotional activity that could harm our reputation.

7.8 Adult/Illegal Content: Promoting our Services on websites containing adult content, illegal materials, hate speech, or content promoting violence.

7.9 Black Hat SEO: Using cloaking, hidden text, link farms, or other manipulative SEO techniques to drive traffic to your affiliate links.

8.1 License Grant: We grant you a limited, non-exclusive, non-transferable license to use our approved marketing materials, logos, and trademarks solely for promoting our Services under this Agreement.

8.2 Restrictions: You may not modify, adapt, or create derivative works from our intellectual property without prior written consent. This license terminates immediately upon termination of your partner account.

8.3 Ownership: All intellectual property rights in our Services, website, and marketing materials remain the exclusive property of co-lab.dev.

9.1 No Refund Policy: co-lab.dev operates a no-refund policy for all subscriptions and purchases. All sales are final.

9.2 Commission Security: Because all sales are final, your commissions are secure once a transaction is complete. You will not have commissions clawed back due to refund requests.

9.3 Chargebacks: If a referred user initiates a chargeback through their bank or credit card company, the associated commission will be deducted from your account. Repeated chargebacks from your referrals may result in account review or termination.

9.4 Fraud Prevention: We actively monitor for fraudulent activity. If we determine that referrals were obtained through fraudulent means, we reserve the right to reverse any associated commissions and terminate your account.

10.1 Term: This Agreement begins when you register for the Program and continues until terminated by either party.

10.2 Termination by You: You may terminate this Agreement at any time by providing written notice to us and ceasing all promotional activities.

10.3 Termination by Us: We may terminate this Agreement and your participation in the Program at any time, with or without cause, by providing notice to the email address associated with your account.

10.4 Effect of Termination: Upon termination:

• You must immediately cease all promotional activities
• All licenses granted under this Agreement terminate immediately
• You must remove all partner links and co-lab.dev marketing materials from your properties
• Pending commissions for legitimate referrals will still be paid
• Future commissions from existing referrals will cease

10.5 Survival: Sections relating to intellectual property, limitation of liability, and confidentiality survive termination.

11.1 Disclaimer: THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation: IN NO EVENT SHALL CO-LAB.DEV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Maximum Liability: Our total liability under this Agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

11.4 Indemnification: You agree to indemnify and hold harmless co-lab.dev from any claims, damages, or expenses arising from your promotional activities or breach of this Agreement.

12.1 Modifications: We reserve the right to modify this Agreement at any time. Material changes will be communicated via email or through your partner dashboard. Continued participation after changes constitutes acceptance of the modified terms.

12.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.3 Dispute Resolution: Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.4 Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.5 Entire Agreement: This Agreement constitutes the entire agreement between you and co-lab.dev regarding the Program and supersedes all prior agreements and understandings.

12.6 Assignment: You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign this Agreement freely.

12.7 No Waiver: Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
